1. Introduction

These Terms of Service ("Terms") govern your access to and use of Labelbase, a music catalog management and CRM platform for independent record labels, accessible at app.labelbase.co (the "Service").

The Service is operated by Wavelab Studio, a company registered in France under number 999 499 890 (R.C.S Rouen), with its registered office at 4 rue roger bonnet 76140 Le Petit-Quevilly, France ("we", "us", "our", or "Wavelab Studio").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. Definitions

"User" means any individual or entity that accesses or uses the Service.

"Account" means the personal space created by a User to access the Service's features.

"Subscription" means a paid plan that grants access to premium features of the Service.

"Content" means all data, information, files, and materials that a User uploads, enters, or generates through the Service.

3. Description of Service

Labelbase is a SaaS platform designed for independent record labels. The Service provides tools for managing music catalogs, artists, releases, contacts, contracts, royalties, and promotional campaigns.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice when possible.

4. Account Registration

4.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You agree to notify us immediately of any unauthorized use of your Account.

4.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

5. Subscriptions and Payment

5.1 Pricing

The Service offers various Subscription plans. Pricing and features for each plan are described on our pricing page. All prices are in Euros.

5.2 Payment Processing

Payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for the Subscription fees.

5.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your Subscription at any time through your Account settings.

5.4 Refunds

Subscription fees are non-refundable except as required by applicable law. If you believe you are entitled to a refund, please contact us at antonin@labelbase.co.

6. User Obligations

You agree to use the Service in compliance with these Terms and all applicable laws. You shall not:

  • Use the Service for any unlawful purpose or in violation of any third-party rights
  • Upload or transmit any Content that is illegal, harmful, defamatory, or infringes intellectual property rights
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Resell, sublicense, or commercially exploit the Service without our prior written consent
  • Use automated means to access the Service without our permission

7. Intellectual Property

7.1 Our Rights

The Service, including its design, features, code, and documentation, is owned by Wavelab Studio and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

7.2 Your Content

You retain all rights to the Content you upload to the Service. By using the Service, you grant us a limited license to host, store, and display your Content solely for the purpose of providing the Service to you.

7.3 Feedback

If you provide us with feedback or suggestions, you grant us the right to use such feedback without restriction or compensation.

8. Data and Privacy

Our collection and use of personal data is governed by our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy.

9. Service Availability

We strive to maintain the availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned maintenance.

10. Limitation of Liability

To the maximum extent permitted by law, Wavelab Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Indemnification

You agree to indemnify and hold harmless Wavelab Studio and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service or your violation of these Terms.

13. Termination

13.1 By You

You may terminate your Account at any time by contacting us or using the Account deletion feature in your settings.

13.2 By Us

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason, with or without notice.

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your Content within a reasonable period after termination. Provisions of these Terms that by their nature should survive termination shall remain in effect.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service or by email. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of France. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Rouen, France.

16. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Wavelab Studio regarding the Service.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions shall continue in effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
